1. Acceptance of Terms
By accessing or using doozimarketing.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, please do not use the Site.
These Terms apply to all visitors, users, and businesses who access or interact with the Site, including viewing proposals, onboarding into Doozi's creator marketplace, or otherwise using our services. The Site is intended for business use only — not for personal, household, or private purposes.
You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the authority to bind the business or organization on whose behalf you are using the Site.

2. Definitions
"Doozi," "we," "us," or "our"** refers to Doozi and its operators.
"You" or "Business"** refers to the business entity or individual accessing or using the Site.
"Services"** refers to the features and functionality available through the Site, including proposal delivery, business onboarding, and the creator marketplace.
"Creator Marketplace"** refers to Doozi's platform connecting businesses with verified travel content creators for collaborative campaigns.
"Proposal"** refers to a campaign or partnership proposal sent to a business through the Site.
"Creator"** refers to a verified travel content creator participating in the Creator Marketplace.
"Creator Content"** refers to photos, videos, and other content produced by creators as part of a campaign.
"Business Content"** refers to information, logos, images, descriptions, and other materials submitted by a business through the Site.
"Platform Content"** refers to all content, design, text, graphics, and materials owned by Doozi and displayed on the Site.
3. Description of Services
doozimarketing.com provides the following services:
Proposal Delivery: We send campaign and partnership proposals to businesses — including hotels, restaurants, and activity providers — on behalf of Doozi's creator marketplace.
Business Onboarding: Businesses that are interested in working with Doozi creators can sign up and onboard through the Site, creating a profile that is visible to creators in the marketplace.
Creator Marketplace Access: Once onboarded, businesses can post campaigns, review creator applications, and manage collaborations with verified travel creators. Campaigns may include paid collaborations, complimentary stays, complimentary meals, or other arrangements in exchange for authentic creator content.
Important: Doozi acts as a facilitator connecting businesses with creators. Doozi is not a party to agreements made between businesses and creators. Any arrangements, deliverables, timelines, or compensation between a business and a creator are between those two parties. Doozi does not guarantee the performance, quality, or timeliness of any creator or campaign.
4. User Accounts and Registration
To access certain features of the Site — including onboarding into the Creator Marketplace — you may be required to create an account.
When creating an account, you agree to:
- Provide accurate, current, and complete information about your business
- Keep your account credentials secure and confidential
- Notify us promptly if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to refuse registration, suspend, or terminate any account at our discretion, including for providing inaccurate information or violating these Terms.
One account per business entity. If multiple individuals within your organization need access, contact us to arrange appropriate access.

5. Business Obligations
When Receiving a Proposal
If you receive a proposal through the Site, you agree that:
- The proposal and its contents are provided for your review only and are not a binding contract until both parties agree to specific campaign terms
- You will not share, distribute, or disclose the proposal to third parties without Doozi's prior written consent (see Section 8 — Confidentiality)
When Onboarding to the Creator Marketplace
When you onboard to the Creator Marketplace, you agree to:
- Provide truthful and accurate business information, including your business name, description, location, photos, and contact details
- Keep your business profile updated
- Honour any campaign commitments you make to creators (such as complimentary stays, meals, or agreed-upon compensation)
- Comply with all applicable laws, including advertising standards and disclosure requirements (e.g., FTC guidelines for sponsored content)
- Not misrepresent the nature or quality of your business offerings
Acceptable Use
You agree not to:
- Use the Site to solicit or contact creators outside of the Creator Marketplace for the purpose of bypassing Doozi (see Section 13 — Anti-Circumvention)
- Misrepresent your business identity or the nature of your offerings
- Upload or submit content that is false, misleading, defamatory, or infringing on third-party rights
- Interfere with the Site's functionality, including through scraping, reverse engineering, or introducing malicious code
- Use the Site for any unlawful purpose

6. Intellectual Property
Doozi's Intellectual Property
The Site — including its design, branding, logos, text, graphics, software, and all Platform Content — is owned by Doozi or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Platform Content without our prior written consent.
Your Content
You retain ownership of Business Content you submit through the Site (logos, photos, descriptions, etc.). By submitting Business Content, you grant Doozi a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your Business Content for the purposes of operating the Creator Marketplace, presenting your business to creators, and marketing Doozi's services.
You represent and warrant that you own or have the necessary rights to any Business Content you submit and that it does not infringe on any third party's intellectual property or other rights.
Creator Content
Creators retain ownership of the content they produce. Specific usage rights for Creator Content produced through marketplace campaigns are governed by individual campaign agreements between the business and the creator — not by these Terms. Doozi may provide template agreements or recommended terms, but the specifics of content licensing, usage scope, and duration are determined on a per-campaign basis.

7. Confidentiality
Proposals sent through the Site may contain confidential information, including campaign strategies, pricing, marketplace data, and business insights.
You agree to:
- Treat all proposals and related materials as confidential
- Not disclose, share, or forward proposals to any third party without Doozi's prior written consent
- Use proposal contents solely for the purpose of evaluating the proposed partnership with Doozi
This confidentiality obligation survives termination of your account or your relationship with Doozi.
8. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, DOOZI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the above, Doozi does not warrant that:
- The Site will be uninterrupted, error-free, or secure
- Any particular results will be achieved through marketplace participation
- Creators will meet specific quality, performance, or delivery standards
- Campaign outcomes or return on investment will meet your expectations
Doozi does not endorse, verify, or guarantee the quality of any creator, their content, or their audience metrics beyond our standard verification process.

9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DOOZI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.
This includes, without limitation, damages for:
- Loss of profits, revenue, data, or business opportunities
- Creator performance, content quality, or campaign results
- Actions or omissions of third parties, including creators
- Service interruptions or data loss
DOOZI'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DOOZI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

10. Indemnification
You agree to indemnify, defend, and hold harmless Doozi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Site or Services
- Your Business Content or business practices
- Your violation of these Terms
- Your violation of any third party's rights
- Your interactions with creators facilitated through the Creator Marketplace

11. Termination
Either party may terminate the relationship at any time.
**You** may close your account by contacting us at hello@doozi.app.
**Doozi** may suspend or terminate your access to the Site or your account at any time, with or without notice, for any reason — including if we believe you have violated these Terms.
Effect of Termination
Upon termination:
- Your right to access the Site and Services will cease
- Any outstanding payment obligations remain due
- Active campaigns in progress should be honoured in good faith by both parties, subject to the terms of the applicable campaign agreement
- Doozi may retain your Business Content as required by law or for legitimate business purposes, but will otherwise delete it upon request within a reasonable timeframe
The following sections survive termination: Intellectual Property (Section 6), Confidentiality (Section 7), Disclaimer of Warranties (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), Anti-Circumvention (Section 13), and Governing Law (Section 14).
12. Privacy and Data Protection
We collect and process business and personal information in connection with your use of the Site, including business details, contact information, and usage data. Our collection and use of personal information is described in our [Privacy Policy](/privacy).
We are committed to complying with applicable data protection laws, including GDPR and CCPA where applicable. If you have questions about how we handle your data, contact us at hello@doozi.app.
We may use third-party service providers to help operate the Site and deliver our Services. These providers process data on our behalf and in accordance with our instructions.

13. Anti-Circumvention
The Creator Marketplace exists to connect businesses with creators in a fair and structured way. You agree not to:
- Solicit, contact, or engage any creator you discovered through the Creator Marketplace or through a Doozi proposal outside of the platform, for the purpose of bypassing Doozi
- Encourage or assist any creator in circumventing the Creator Marketplace
This restriction applies during your use of the Creator Marketplace and for twelve (12) months after your last interaction with a creator through the platform.
Violation of this section may result in immediate termination of your account and any additional remedies available to Doozi under applicable law.

14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising out of or related to these Terms will first be addressed through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, either party may pursue mediation or binding arbitration in accordance with the rules of the ADR Institute of Canada, with proceedings held in Ontario, Canada.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to protect its rights.

15. Modifications to Terms
We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date at the top of this page.
For material changes, we will make reasonable efforts to notify you — such as by email to the address associated with your account or by posting a prominent notice on the Site. Material changes will take effect thirty (30) days after notice is provided.
Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should stop using the Site and contact us to close your account.

16. General Provisions
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Doozi may assign its rights freely, including in connection with a merger, acquisition, or sale of assets.
Force Majeure: Neither party will be liable for delays or failure to perform resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or internet outages.
Entire Agreement: These Terms, together with our Privacy Policy and any applicable campaign agreements, constitute the entire agreement between you and Doozi regarding your use of the Site.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Electronic Communications: By using the Site, you consent to receiving communications from us electronically, including by email and notices posted on the Site.
